These Terms & Conditions / Terms of Service ("Terms") govern your access to and use of https://shefa-global.com and any websites, forms, chat tools, communications, content, and services provided by Shefa Capital (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you enter into a separate written services agreement, proposal, statement of work, or order form with Shefa Capital, that agreement will control to the extent of any direct conflict with these Terms.

1. About Shefa Capital

Shefa Capital provides business systems, automation, CRM, AI, marketing operations, operational support, consulting, and related implementation services intended to help businesses organize repetitive work and improve execution. Specific deliverables, fees, timelines, and responsibilities are established in the applicable proposal, order form, or services agreement.

2. Eligibility and Business Use

You must be legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to misuse the Services. You may not:

  • Use the Services for unlawful, fraudulent, deceptive, abusive, harassing, or infringing activity.

  • Attempt to gain unauthorized access to systems, accounts, data, or networks.

  • Introduce malware, malicious code, or technologies intended to disrupt or compromise the Services.

  • Copy, scrape, reverse engineer, or exploit the Services except as permitted by law or with our written authorization.

  • Use the Services to send communications in violation of applicable privacy, advertising, telemarketing, email, messaging laws, or carrier requirements.

4. Client Responsibilities

If you purchase Services from Shefa Capital, you are responsible for providing timely, accurate information, approvals, access, materials, credentials, and cooperation reasonably required for delivery. You are also responsible for reviewing deliverables and ensuring that your own business practices, claims, offers, data collection, communications, and use of systems comply with applicable laws and industry requirements.

6. Data Retention

We retain personal information for as long as reasonably necessary to provide Services, maintain business records, satisfy legal or contractual obligations, resolve disputes, enforce agreements, and protect legitimate business interests. Retention periods vary depending on the type of information, purpose of collection, and applicable requirements.

5. Fees and Payment

Fees, billing frequency, payment terms, cancellation terms, and any performance-based compensation are set forth in the applicable proposal, invoice, order form, or services agreement. Unless otherwise stated in writing, you are responsible for applicable taxes and third-party platform charges associated with your use of the Services.

6. Intellectual Property

Shefa Capital Materials

The website, Shefa Capital branding, methodologies, templates, processes, software configurations, content, and other materials created or owned by Shefa Capital are protected by intellectual property laws. Except for rights expressly granted in writing, Shefa Capital retains all rights in its pre-existing materials, know-how, systems, and intellectual property.

Client Materials

You retain ownership of materials you provide to us. You grant Shefa Capital a limited right to use those materials as reasonably necessary to perform the Services. You represent that you have the rights and permissions needed for us to use the materials you provide.

Project Deliverables

Ownership and license rights for custom deliverables are governed by the applicable written services agreement or proposal. If no separate written term applies, final paid deliverables created specifically for the client may be used by that client for its internal business purposes, while Shefa Capital retains ownership of underlying tools, templates, know-how, methods, and reusable components.

7. Third-Party Platforms and Tools

The Services may integrate with or depend on third-party platforms, software, AI systems, CRM tools, advertising platforms, communications providers, hosting providers, or other vendors. Those services are controlled by their respective providers and may be subject to separate terms, fees, availability, and policies. Shefa Capital is not responsible for outages, changes, suspensions, data practices, or acts of third-party providers outside our reasonable control.

8. SMS / Text Messaging Terms

If you provide your mobile number to Shefa Capital and affirmatively opt in to receive text messages, you may receive informational, conversational, service-related, appointment, account, or marketing messages from Shefa Capital, depending on the consent you provide and your relationship with us.

  • Message frequency: varies based on your interactions, requests, and selected messaging preferences.

  • Charges: message and data rates may apply.

  • Opt-out: reply STOP to unsubscribe from SMS messages. We may send a final confirmation of your opt-out.

  • Consent: consent to receive marketing text messages is not a condition of purchasing goods or services.

  • Carriers: mobile carriers are not liable for delayed or undelivered messages.

Unless a separate signed agreement expressly states otherwise, we do not guarantee any particular revenue, lead volume, sales result, ranking, conversion rate, cost reduction, or business outcome.

12. Disclaimers

To the fullest extent permitted by law, the website and any general informational content are provided on an "as is" and "as available" basis. Shefa Capital disclaims warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the website or Services will be uninterrupted, error-free, or compatible with every third-party system.

13. Limitation of Liability

To the extent permitted by law, you agree to indemnify and hold Shefa Capital harmless from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Services, your violation of these Terms, your infringement of third-party rights, or materials and instructions you provide to us, except to the extent caused by Shefa Capital's own unlawful conduct.

15. Suspension and Termination

We may suspend or restrict access to the website or Services when reasonably necessary to protect security, prevent misuse, comply with law, address nonpayment, or enforce contractual obligations. Termination and cancellation rights for paid Services are governed by the applicable services agreement, proposal, or order form.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

17. Changes to These Terms

We may update these Terms from time to time. The current version will be posted on our website with the revised effective date. Your continued use of the website after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms, together with the Privacy Policy and any applicable signed services agreement, constitute the relevant agreement between you and Shefa Capital regarding the matters they cover.
